These Terms cover your use of Eyedro websites, MyEyedro cloud services, mobile applications, APIs, embedded software, and connected hardware devices.
1. Agreement to Terms
By accessing our websites, creating a MyEyedro account, downloading our mobile applications, or using Eyedro hardware products, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not access or use our websites, software, or hardware products.
2. MyEyedro Account & Security
- Account Creation: You must provide a valid email address and secure password to create an account. If you choose to provide additional information, you represent that it is accurate. You affirm that you are over the age of 13 (or possess legal parental/guardian consent).
- Credentials & Confidentiality: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
- Privacy Policy: No personally identifiable information is required to create a MyEyedro account. Where personal information has been provided, our collection, use, and disclosure of personal information and account details are governed by our Privacy Policy, available at https://eyedro.com/privacy-policy/. By using our services, you consent to our data practices as described in that policy.
- Account Restrictions: We reserve the right to suspend, disable, or terminate your account or access at our discretion if you violate these Terms, misuse our services, or engage in fraudulent or illegal activity, or fail to pay any outstanding invoices owed to Eyedro when due.
3. Hardware, Firmware & Software Licensing
- Limited License: Eyedro Green Solutions Inc. (“Eyedro”) grants you a limited, revocable, non-exclusive, non-transferable license to access the MyEyedro cloud platform and run the software built into your Eyedro devices, solely to operate your hardware and monitor your sensor data (including electricity, water, gas, and temperature).
- Warranty: Eyedro hardware products are backed by a Limited One-Year Warranty against manufacturing defects. The complete terms, conditions, and RMA procedures for hardware warranties are available in the respective Product Guides at https://eyedro.com/docs/.
- Prohibited Uses: You may not reverse engineer, decompile, disassemble, copy, modify, frame, mirror, scrape, or extract source code from any Eyedro software, firmware, website content, or API without express written consent from Eyedro.
- Automatic Updates: Eyedro may automatically push remote software, firmware, or system updates to your connected devices or accounts to ensure security, stability, or improved feature performance.
4. Energy Data & Content Rights
- Data Ownership: You retain ownership of your sensor measurement data originating from your Eyedro hardware.
- Automated Data Transmission: Eyedro hardware automatically transmits measurement data to the MyEyedro cloud platform. Eyedro provides access to view, export, or download this data subject to your account subscription tier, active device license, and available application features. Certain high-resolution data types (such as raw amperage telemetry) or extended export features may require an active paid software license (e.g., MyEyedro Pro). Eyedro is under no obligation to store or provide export capabilities for raw telemetry data beyond what is supported by your active account tier.
- Data Retention & Storage Limits: MyEyedro cloud hosting and historical data logging are provided as software application features subject to your account tier, not as a dedicated data backup or archiving service. Account features, limits, and data retention duration are governed by your device license as set forth in our published MyEyedro Feature List (available at https://eyedro.com/docs/myeyedro-user-guide/myeyedro-feature-list/). All devices are subject to rolling data retention limits, after which older measurement data will be automatically and permanently purged. Eyedro is not liable for any lost, purged, missing, corrupted, or deleted data.
- Service License to Eyedro: You grant Eyedro a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display your data strictly as necessary to operate, maintain, and support the MyEyedro service.
- Anonymized & Aggregated Data: Eyedro retains the perpetual, irrevocable right to use fully anonymized and aggregated energy data (stripped of all personal identifying information) for system optimization, analytics, energy benchmarking, regional reporting, or commercial development. This right survives any account deletion or contract termination.
- User Submissions & Feedback: Any feedback, forum posts, or communications you submit to Eyedro grant us a perpetual, royalty-free, worldwide license to use, adapt, and publish such submissions without restriction.
5. Intellectual Property
All website content, software, graphics, branding, and logos, including Eyedro, MyEyedro, and MyFreeMonitor, are protected by copyright, trademark, and intellectual property laws and remain the exclusive property of Eyedro Green Solutions Inc. or its licensors.
6. Subscriptions & Billing (If Applicable)
If you subscribe to paid MyEyedro software tiers (such as Standard or Professional licenses), paid features, or add-on services:
- Feature & License Tiers: Eyedro offers various service levels, including free Base access and paid Standard and Professional licenses. The specific features, capabilities, and data limits associated with each tier are published on our website and updated from time to time. Upgrading or downgrading your license tier directly alters your available data retention history and export capabilities in accordance with our published feature matrix.
- Billing & License Term: You authorize Eyedro (or our third-party payment processor) to charge your payment method for the applicable software license fee. Subscriptions and software licenses remain active for the duration of the purchased term and must be renewed manually prior to expiration to maintain extended data retention and advanced features.
- Invoiced Accounts: For software or hardware purchased via purchase order or commercial invoice, payments are due according to the terms specified on the invoice (e.g., Net 30). Late payments may result in service suspension under Section 2.
- Refund Policy: All license fees and subscriptions are non-refundable except where explicitly required by law or stated in writing by Eyedro.
7. Disclaimers & Service Availability
- “As-Is” & “As-Available” Service: Our websites, cloud software, mobile applications, APIs, and device telemetry are provided on an “as is” and “as available” basis without warranties of any kind. Eyedro does not guarantee continuous, uninterrupted, error-free, or fully secure access to the MyEyedro cloud platform.
- Informational Use Only: Eyedro hardware and software insights are provided strictly for general energy, utility, and sensor monitoring purposes.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- Eyedro is not liable for any indirect, incidental, special, consequential, or punitive damages (including loss of data, revenues, or business interruption) arising out of or in connection with the use or inability to use our products or services.
- Eyedro’s total cumulative liability for all claims related to any product, website, or software service shall not exceed the total amount you actually paid to Eyedro in the 12 months preceding the claim (or $100 USD if no purchase was made).
9. Indemnification
You agree to defend, indemnify, and hold harmless Eyedro Green Solutions Inc., its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, or costs (including legal fees) arising from your breach of these Terms, misuse of our services, or violation of third-party rights.
10. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the courts located in Ontario, Canada for any legal actions or disputes.
11. Severability & Updates
- Service Changes & Discontinuation: Eyedro reserves the right to modify, adjust feature limits (including data retention windows), suspend, or discontinue any aspect of our services at any time. Eyedro is not liable for any service modification or discontinuation.
- Transfer & Severability: Eyedro may transfer or assign its rights and obligations under these Terms to an affiliate or corporate successor. If any provision of these Terms is held invalid, the remaining provisions remain in full force.
- Modifications: We may revise these Terms at any time by posting the updated version on our website. Continued use of Eyedro products or services after changes are posted constitutes acceptance.
